1. Purpose

This SOP describes how [NETWORK NAME] assesses a research site that is joining the network, brings it onto the network SOPs, systems and agreements without interrupting participant care or open studies, and handles a member site that leaves the network or closes. It covers both acquisitions (N-Integrated) and affiliations (N-Affiliated).

2. Scope

This SOP applies only when the site has adopted Model N (SOP-100 Writing, Approving and Controlling SOPs).

In scope:

  • due diligence and gap assessment of a joining site (F-901-01)
  • the integration plan and its milestones (F-901-02)
  • notices to sponsors, IRBs and regulators for studies open at the time of joining or exit
  • change of ownership steps for acquired sites
  • exit: study transfer or closeout, records custody, system access and data return

Out of scope: the business terms of a purchase or affiliation, which are set by the network's executives and counsel. Network governance and adoption of Appendix B are in SOP-900 Network Governance, SOP Hierarchy and Local Addenda. Ongoing oversight of a member site after integration is in SOP-903 Network Oversight of Member Sites (Metrics, Central QA, Escalation).

Where the protocol, sponsor or IRB requirement is stricter than this SOP, the network and the member site follow the stricter requirement. The notice requirements in this SOP are the usual ones; counsel confirms the specific notice requirements for each transaction, because they depend on contract terms, state law and the type of registration or certificate.

3. Responsibilities

RoleResponsibilities
Network ExecutiveApproves the decision to bring a site into the network or to end its membership, after reviewing the gap assessment. Engages counsel for the transaction.
Network Quality LeadLeads the gap assessment, owns F-901-01 and F-901-02, tracks integration milestones, and confirms readiness before network SOPs take effect at the site.
Network Regulatory LeadPlans and tracks sponsor, IRB and regulatory notices for open studies, 1572 and investigator agreement changes, and reliance or IRB transfers (Appendix B, SOP-901 rows).
Network Contracts and Finance LeadReviews the site's open CTAs and budgets, plans assignment, novation or amendment, and plans financial closeout or transfer.
Network Clinical Operations LeadReviews open studies, enrollment and staffing at the joining or exiting site and plans continuity of participant care.
Site Director (joining or exiting site)Provides documents and access for due diligence, names a site integration lead, and carries out site tasks in the plan.
Principal Investigator (PI)Remains responsible for the PI's studies and participants throughout. Approves the participant care plan for each open study, signs new 1572s or investigator agreements where required, and agrees any transfer of the PI's studies.
Regulatory CoordinatorPrepares site-level submissions and notices and files approvals in each ISF.
Privacy OfficerConfirms the HIPAA status of the joining site and the legal basis for any PHI or record transfer (SOP-400 Participant Privacy and HIPAA in Research, SOP-905 Network Data, Systems, Privacy and Records Across Sites).

4. Definitions

TermDefinition
Joining SiteA research site being assessed for, or in the process of, joining the network.
AcquisitionA transaction in which the network entity, or an entity under common ownership, takes ownership of the joining site's business or assets. The result is an N-Integrated member site where the site becomes part of the same legal entity as the network entity. A site kept as a separate legal entity (a subsidiary, or a professional corporation under a management services arrangement where state corporate practice of medicine rules require it) follows the N-Affiliated default for the Appendix B rows listed in SOP-900 5.2.1 unless counsel confirms otherwise.
AffiliationAn agreement under which the joining site stays a separate legal entity and joins the network on contract terms. The result is an N-Affiliated member site.
Change of Ownership (CHOW)A change in the legal owner of a site's business or of the entity that holds its licenses, registrations, certificates or contracts.
AssignmentTransfer of a party's rights (and, where the contract allows, obligations) under a contract to another party, usually needing the other party's consent.
NovationReplacement of a contract party by a new party, with the agreement of all parties, so the new party takes on the obligations.
In-Flight StudyA study at the joining or exiting site that has an approved protocol and is not closed with the IRB.
Integration LeadThe person the Site Director names to coordinate site tasks in the integration plan.

5. Procedure

5.1 Starting the assessment

5.1.1
The Network Executive tells the Network Quality Lead when a site is under consideration and whether the intended form is an acquisition or an affiliation. The Network Quality Lead opens F-901-01 Member Site Gap Assessment.
5.1.2
Before the network receives any document that contains PHI, the joining site's Privacy Officer confirms the basis for the disclosure and the Network Privacy Officer records it on F-905-01 Cross-Entity Data Flow Register. Due diligence should use de-identified or summary data. Where PHI must be reviewed, the review is done on site under the joining site's control, or under a written agreement that allows it, as counsel advises (SOP-400).
5.1.3
Confidentiality: the Network Contracts and Finance Lead checks whether open CTAs or CDAs restrict sharing protocol, budget or sponsor information with a prospective owner or partner. Restricted information is reviewed only as the agreement allows or after the sponsor consents.

5.2 Due diligence and gap assessment (F-901-01)

5.2.1
The Network Quality Lead, with the Network Office leads, assesses the joining site against the network SOPs. The assessment covers at least:
  • Staff qualifications: CVs, licenses, GCP and human subjects training, delegation logs, debarment, disqualification and exclusion screens (SOP-103 Staff Qualification, Training and Training Records; SOP-704 Research Misconduct and Fraud Reporting)
  • Open studies: list of in-flight studies with sponsor, phase, IND or IDE, IRB of record, PI, enrollment status, participants on treatment or in follow-up, and next key dates
  • ISF quality: a sample review of ISFs against F-204-01 Investigator Site File Index, including consent versions used and delegation
  • Inspection and audit history: prior FDA inspections and their classification, any Form FDA 483 and the response, warning letters, sponsor audit findings, IRB suspensions or terminations, and open CAPAs
  • IRB status: IRBs of record, reliance agreements, any FWA, and IRB accounts
  • IP storage: storage areas, temperature monitoring and excursion history, controlled-substance storage and DEA registration (SOP-304 Investigational Product Management)
  • Laboratory: CLIA certificate type, holder, location, director and expiry (SOP-312 Equipment Calibration and Maintenance; Local Laboratory Requirements)
  • Systems: eReg, CTMS, eSource, EHR, temperature monitoring and e-signature systems, their validation or fitness-for-purpose evidence, and who owns the data (SOP-401 Computerized Systems and Electronic Records)
  • HIPAA status: covered entity or not, Notice of Privacy Practices, authorization templates in use, Part 2 records, and privacy incident history (SOP-400)
  • Insurance: professional liability, general liability and clinical trial coverage, limits and whether coverage is claims-made (tail coverage needed at a change)
  • Contracts: open CTAs, budgets, service provider agreements, and their assignment and change-of-control clauses
  • Records: archived study records, their location and custodian, and retention end dates (SOP-402 Record Retention, Archiving and Destruction)
  • State law: the state(s) where the site operates and whether Appendix A covers them
5.2.2
The Network Quality Lead grades each gap as critical (participant safety, rights or data reliability at risk, or a regulatory breach), major, or minor, using the grades in SOP-700 Internal Quality Control and Quality Assurance Audits, and records the evidence reviewed.
5.2.3
A critical gap affecting an in-flight study is reported to the joining site's PI and Site Director at once so they can act under their own SOPs. The joining site, not the network, decides on any report to its sponsor or IRB until it is under network SOPs.
5.2.4
The Network Quality Lead gives the completed F-901-01 with a recommendation to the Network Executive. The Network Executive records the decision (proceed, proceed with conditions, or decline) on F-901-01.

5.3 Integration plan (F-901-02)

5.3.1
Once the decision is to proceed, the Network Quality Lead and the site Integration Lead write F-901-02 Member Site Integration Plan and Exit Checklist. Each milestone has an owner and a target date. The plan covers at least:
  • the variant and Appendix B assignments for the site, added to F-900-02 (SOP-900 5.2.4)
  • closure of each critical and major gap, with CAPA references (SOP-703 Corrective and Preventive Action (CAPA))
  • SOP adoption: the network SOP effective date for the site, local addenda needed, and training of all site staff before that date (SOP-900 5.7)
  • completion of Appendix A for the site's state(s) and any state-specific addenda
  • systems migration with data integrity checks (5.5)
  • study-by-study plan for in-flight studies (5.4)
  • contract, insurance, registration and certificate steps (5.6)
  • the date from which network SOPs replace the site's own SOPs
  • each open FDA, sponsor or IRB commitment of the site (for example a Form FDA 483 response commitment or an open CAPA), as a milestone
5.3.2
Until the network SOP effective date for the site, the site keeps working under its own SOPs. On that date the site's former SOPs are retired and mapped to their network replacements (SOP-100 5.10.5). The site must not run a mix of old and new SOPs for the same process without a written transition rule in F-901-02.
5.3.3
The Network Quality Lead reviews progress against F-901-02 at least [DEFAULT: every 2 weeks] until all milestones are closed, and reports status to the Network Executive.
5.3.4
Integration is complete when every milestone on F-901-02 is closed and the Network Quality Lead has done a readiness check of the site. The site then enters oversight under SOP-903 at a starting tier the Network Quality Lead assigns under SOP-903 5.6.1, counting inspection and audit findings from the last [DEFAULT: 2 years]. The Network Quality Lead schedules a first central QA audit of the site within [DEFAULT: 6 months] of integration.

5.4 In-flight studies: notices and continuity of care

5.4.1
For each in-flight study, the Network Regulatory Lead and the site Regulatory Coordinator list what changes as a result of joining (for example, legal entity, site name, address, IRB of record, PI, laboratory, contract party, systems) and what each change requires. Typical requirements:
  • Sponsor: written notice of any change in site name, legal entity, address, PI, Sub-I, laboratory or contract party; sponsor agreement before a change of PI or site location takes effect
  • Form FDA 1572 or investigator agreement: a new 1572 when the PI changes; changes to other 1572 information (for example research facility address, laboratory, IRB) reported to the sponsor, with a revised 1572 where the sponsor requires one (21 CFR 312.53(c); SOP-302 Delegation of Authority 5.5); device investigator agreements under 21 CFR 812.43(c)
  • IRB: notice or approval of a change in PI, site name, location, ownership or institution as the IRB's policy requires; any change of IRB of record is approved by the sponsor and both IRBs before it takes effect, with no lapse in approval (SOP-203 IRB Submissions, Approval and Continuing Oversight)
  • Consent: whether the change requires a revised consent form (for example, new site name, contact details or study doctor) and how current participants are told, as the IRB decides (SOP-301 Informed Consent Process and Documentation)
  • Delegation: updated F-302-01 for any staff change, with training first
5.4.2
The Regulatory Coordinator sends notices before the change takes effect where the sponsor or IRB requires prior approval, and otherwise within the time the sponsor or IRB sets. Each notice and acknowledgment is filed in the ISF.
5.4.3
For each in-flight study with participants on treatment or in follow-up, the PI approves a participant care plan in F-901-02 that confirms:
  • scheduled visits, dosing and safety follow-up continue on schedule
  • IP stays in qualified storage with continuous temperature records and accountability; any IP move between locations is approved by the sponsor first (SOP-304)
  • the PI or a Sub-I stays available, and safety reporting continues without a gap (SOP-501 Serious Adverse Event and Expedited Safety Reporting)
  • participants know who to call, with updated contact details given as the IRB approves
5.4.4
Study visits, dosing and safety follow-up must not be interrupted because of integration. Where a change cannot be completed in time (for example a pending IRB approval for a new PI), the existing arrangements stay in place until the new ones are approved.
5.4.5
Transfer of an open study to another PI or another member site follows 5.8.

5.5 Systems migration

5.5.1
The Network Office assigns a System Owner for each system to be replaced or connected (SOP-401). Before migration, the System Owner documents the data to be moved, the mapping, the checks to confirm complete and accurate transfer, and how audit trails and certified copies of the old system's records are kept.
5.5.2
Migration of study records keeps them complete, readable and attributable for their full retention period (SOP-402 5.4). Where a sponsor or IRB owns a system the site uses (for example EDC or IRB portals), the Regulatory Coordinator updates user accounts and affiliation as that system requires.
5.5.3
Any transfer of PHI between legal entities during migration has a documented legal basis recorded on F-905-01 Cross-Entity Data Flow Register (SOP-905).

5.6 Acquisitions (N-Integrated): change of ownership steps

5.6.1
The Network Contracts and Finance Lead, with counsel, plans these items before the closing date and records each on F-901-02:
  • CTAs and budgets: review each for assignment and change-of-control clauses; obtain sponsor consent to assignment, a novation, or an amendment naming the new contracting entity, as each agreement requires; confirm payee and tax details change only after the amendment is signed
  • Sponsor and IRB notices: under 5.4, including any change of legal entity or institution name
  • DEA registration: a DEA registration is specific to the registrant and to the location (a separate registration is required for each principal place of business where controlled substances are dispensed, 21 CFR 1301.12). A registration cannot be assigned or transferred without DEA written consent (21 CFR 1301.52(b)), and a transfer of business needs written notice to the DEA Special Agent in Charge at least 14 days before the transfer unless DEA waives it (21 CFR 1301.52(d)). Counsel confirms whether the acquired site needs new registrations, and the state controlled-substance registration (Appendix A), before controlled-substance IP or drugs are handled under the new owner
  • CLIA certificate: the laboratory notifies CMS or its state agency of a change in ownership within 30 days of the change (42 CFR 493.39 for a certificate of waiver; 42 CFR 493.51 for a certificate of compliance; check the rule for the site's certificate type, including PPM and accreditation)
  • Other licenses: state facility, pharmacy or radiation licenses where held, and payer enrollment if the site bills insurance (SOP-202 Medicare Coverage Analysis and Research Billing Compliance)
  • Insurance: new coverage in force from the closing date, and tail coverage for claims-made policies of the prior owner
  • Records custody: who holds archived study records after closing (SOP-402 5.6; 21 CFR 812.140(e) where IDE custody changes)
5.6.2
Employees of the acquired site complete network onboarding (SOP-102 Site Organization, Roles and Staff Responsibilities 5.5) on or before the network SOP effective date. Their prior training records move into the network training system.

5.7 Affiliations (N-Affiliated)

5.7.1
The network agreement is signed before any network SOP binds the member entity and contains the terms in SOP-900 5.9.
5.7.2
The member entity keeps its own CTAs, DEA registration, CLIA certificate, licenses and insurance unless the network agreement provides otherwise. Notices under 5.4 are needed only for items that actually change (for example, a new IRB of record or a tri-party CTA for new studies).
5.7.3
The member entity's employees stay its employees. Network training is assigned through the Site Director as the network agreement allows.

5.8 Transfer of an open study

5.8.1
A study is transferred to another PI, another member site or a site outside the network only with the agreement of the sponsor and the IRB, and of the current PI. The Network Regulatory Lead prepares a transfer plan on F-901-02 that covers:
  • sponsor written agreement and any new CTA or amendment
  • IRB approval for the receiving PI and site, and closure or modification at the transferring site
  • new 1572 or investigator agreement for the receiving PI
  • participant notification and re-consent where the IRB requires it, and transfer of participant records with authorization or another HIPAA basis (SOP-400)
  • IP transfer or return, with sponsor approval, chain of custody and temperature records
  • the last date of responsibility for the transferring PI and the first date for the receiving PI, with no gap in safety follow-up
5.8.2
A participant who does not want to move to the receiving site is handled under SOP-309 Participant Retention, Withdrawal and Lost to Follow-Up.

5.9 Site exit

5.9.1
A member site exits when the network agreement ends (N-Affiliated), when the network sells or closes the site (N-Integrated), or when the Network Executive decides under SOP-903 escalation that membership must end. The Network Quality Lead opens the exit section of F-901-02.
5.9.2
For each in-flight study, the Network Clinical Operations Lead and the PI decide with the sponsor whether the study transfers (5.8), continues at the exiting entity outside the network, or closes out (SOP-601 Study Closeout). N-Affiliated: the member entity's PI and Site Director decide with the sponsor, and the Network Office is consulted where it is a party to the CTA. Participant care continues under 5.4.3 until the transfer or closeout is complete. The exit date for the site is not set earlier than the date every in-flight study has a confirmed disposition. Where a study continues at the exiting entity:
  • the Regulatory Coordinator notifies the sponsor and IRB of any change that leaving the network causes (for example contract party, IRB reliance, systems, monitoring contacts), under 5.4.1
  • central services the study depended on (for example central regulatory, eReg, CTMS or invoicing) are handed back to the site or replaced before they stop, with a dated handover on F-901-02
  • tri-party or network-signed CTAs are amended or assigned to the member entity (SOP-902)
5.9.3
Records custody: the site Regulatory Coordinator records, for every study conducted at the site, who will hold the records for their full retention period on F-402-01 Record Archiving and Retrieval Log, and notifies each sponsor of the custodian. The Network Regulatory Lead confirms the entries are complete (SOP-905 5.8.2):
  • N-Affiliated: study records belong to the member site entity and its investigators. Records the Network Office holds for the site, including source documents and eSource held in network systems (for example central eReg, eSource, CTMS or document systems), are returned to the site, or exported as complete certified copies with audit trails, by the exit date or the date the network agreement sets. The Network Office must not withhold the site's records (including over a payment dispute), and must not destroy its own copies before the retention end date unless the site has confirmed in writing that it holds a complete set. Any copy the Network Office keeps is held only under the network agreement and F-905-01
  • N-Integrated sale or closure: a written custody agreement with the buyer or an archiving vendor (SOP-402 5.6.3); each sponsor is told the new custodian
  • IDE studies: if the investigator transfers custody of records to another person who accepts responsibility, FDA is notified within 10 working days after the transfer (21 CFR 812.140(e)); the Regulatory Coordinator coordinates the notice with the sponsor. For IND studies the sponsor is told in writing of the new custodian (SOP-402 5.6.2)
5.9.3.1
Where source for an open or archived study sits in a network system, the System Owner exports it with its audit trail as certified copies (SOP-401 5.6) or migrates it to the site's system with documented checks (5.5), before network access is removed. The site Regulatory Coordinator tells each sponsor where the source now sits and updates the site's source data location list (SOP-204).
5.9.4
System access: on the exit date, or later where SOP-905 5.8.4 requires, the System Owners remove the exiting site's staff from network systems and remove network staff from the site's systems, except accounts kept under a continued-access agreement (SOP-905 5.8.1), and record removal on F-401-01 Computerized System Inventory and Access Log. Sponsor-owned systems are updated as the sponsor requires.
5.9.5
Data return: the Privacy Officer and the Network Regulatory Lead confirm what data and records each party keeps, returns or destroys under the network agreement, BAAs and DUAs, and record it on F-905-01. Records within their retention period are not destroyed because of exit (SOP-402).
5.9.6
The Network Contracts and Finance Lead completes financial reconciliation for the site's studies and agreements (SOP-201 Confidentiality Agreements, Clinical Trial Agreements and Budgets 5.8).
5.9.7
When the other exit steps in 5.9 are complete, the Network Quality Lead removes the site from F-900-02, closes the exit checklist on F-901-02 with the Network Executive's sign-off, and reports the exit at network management review (SOP-900 5.10).
5.9.8
The Site Director records on F-901-02 which SOPs apply at the site from the exit date (the site's own SOPs, or the network SOP versions it keeps under SOP-100 5.11.8), and has site staff trained on any change before the exit date.
5.9.9
For each shared staff member or central investigator who worked on the site's studies, the PI ends their delegation on F-302-01 from the exit date unless a staffing agreement continues it. The Regulatory Coordinator records the change in the study records and tells the sponsor, with a revised 1572 where the sponsor requires one. The Network Clinical Operations Lead updates F-904-01 and access is removed (SOP-904 5.3.5 and 5.10.3).
5.9.10
N-Integrated sale: the Network Contracts and Finance Lead, with counsel, completes the 5.6.1 items for the buyer before the closing date and records each on F-901-02, including DEA registration (with the 14-day written notice before a transfer of business, 21 CFR 1301.52(d)), the CLIA change of ownership notice, other licenses, insurance and tail coverage, a 21 CFR 11.100(c) certification from the new entity for staff who sign electronically (SOP-905 5.1.5), and the transfer of employees to the buyer with their training records.
